About Me

About Mark Mroczkowski

I am an experienced businessman, advisor, and entrepreneur with 40 plus years’ experience arranging deals and representing business owners. As a Managing Director at Chapman Associates, I focus on information technology, general aviation, B2B products and services, and manufacturing & distribution because of my hands-on experience.

I was engaged in public accounting practice for the first half of my career, specializing in audit, tax, and financial consulting for privately owned and publicly traded corporations. I have also been instrumental to my clients in procuring corporate equity, debt, and project finance and consulting on M&A assignments. For the next 20 years, I was in the Technology, Internet, and Oil & Gas industries as the Chief Financial Officer of three different publicly traded companies. In those capacities, I worked on more than 16 acquisitions, mergers, and divestitures in Michigan, Ohio, Kentucky, Florida, Wyoming, Australia, China, and South Africa.

I have been the owner of a CPA firm, an equipment leasing company, co-owner of an independent oil & gas producer, an import-export firm, a beer distributorship in Moscow, Russia, and an independent consultant to several different industries.

I am a Florida State University College of Business graduate, a Florida Certified Public Accountant (CPA), a Certified Merger & Acquisition Advisor (CM&AA), and a Florida Licensed Real Estate Broker. I am an avid aviator with over 5,200 hours of flight time. I hold a Commercial Pilot Certificate with ratings in single and multi-engine airplanes and seaplanes, helicopters, gyroplanes, gliders, and balloons and instrument ratings in airplanes and helicopters.

I do not delegate to lower level staff. You will have the benefit of my knowledge and experience and that of the other 17 Managing Directors of Chapman Associates. Our members have all owned and sold business and most are CPA’s Lawyers and engineers.
I generally do not charge up-front retainers, fees or expenses. We work on a success fee basis. I invest my time and resources so that I have a vested interest in a successful transaction.
I are selective about entering new relationships because we understand the work required to obtain a great result. We choose to work with a limited number of companies to best maximize our impact.

Ethics:

I pride myself on the way I do business. As a professional and I pledged to abide by the following code of ethics.

  • I will not make any promises, verbal or written, that we can not or will not live up to.
  • I will never deliberately withhold important facts or intentionally mislead either a buyer or a seller, regardless of which side we represent.
  • I will respect the confidentiality of every client’s proprietary information.
  • I will never knowingly misrepresent the market value of a seller’s company in order to a) secure a mandate to sell the company or b) encourage a client to accept an offer for his company.
  • I will present the seller with all offers received prior to the closing of a transaction.
  • I will disclose to a client any and all facts known to us which may have a material affect on the value of the business.
  • I will disclose to the client the nature and extent of any interest that Chapman and/or one of our professionals has or expects to acquire as a result of the sale.
  • I will not make false or unsupported representations about the nature and/or condition of either a buyer or a seller’s business.
  • I will represent our client’s best interests at all times and to the utmost of our ability.

I’m proud of the position on these issues and want you to know where I stand.
